Terms of Service

Welcome to VisualForge Creative LLC (hereinafter referred to as “we” or “the Company”) for Video Editing, Graphic Design, and Consulting Services.

By accessing this website, submitting a service order, or purchasing our services, you acknowledge that you have read, understood, and agree to abide by these Terms of Service. If you do not agree to these terms, please do not purchase or use our services.

  1. Service Content

VisualForge Creative LLC provides services including but not limited to the following:

Video editing and post-processing;
Video material organization and editing;
Subtitles and basic visual content processing;
Graphic design services;
Promotional and marketing visual material production;
Social media visual content production;
Creative direction and project consultation;
Other agreed services related to client projects.

Specific service content, delivery methods, and project requirements are subject to the information displayed on the page at the time of purchase and the project requirements confirmed by both parties.

  1. One-Time Billing Terms

Unless otherwise expressly stated on the service page, the services provided by VisualForge Creative LLC are sold and charged on a one-time basis.

The fee paid by the customer when purchasing services corresponds to the specific service or agreed-upon item purchased and does not represent an automatic subscription, nor will it automatically incur recurring fees.

Billing Rules: Service fees are calculated based on the price displayed on the website when the customer submits an order; each order is an independent, one-time transaction; there is no automatic renewal or automatic subscription; unless otherwise agreed in writing by both parties, a customer will not automatically incur subsequent payment obligations after completing a purchase; if the customer requires additional services, modifications, or work beyond the scope of the original order, the related fees may need to be confirmed and paid separately.

The customer should confirm the selected service content, price, and related item requirements before payment.

  1. Payment

The customer should complete the payment for service fees using the available payment methods provided on the website.

Orders typically enter the service arrangement process after successful payment.

If payment is unsuccessful, rejected, or the transaction is cancelled, we may suspend or cancel the relevant service arrangements.

For service content, modifications, or additional work requested by the customer, the related fees may need to be paid separately after both parties confirm the additional fees.

  1. Service Delivery

The service start time and estimated delivery time will be determined based on the type of service purchased, project complexity, the completeness of the client’s provided materials, and the project arrangements confirmed by both parties.

The client shall promptly provide the materials, instructions, and other necessary information required to complete the project.

If the client fails to provide the necessary materials in a timely manner, the service time may be extended accordingly.

  1. Client-Provided Content

The client warrants that it has the legal right to use the text, images, videos, audio, trademarks, brand materials, and other content it provides to VisualForge Creative LLC.

The client shall not submit content that infringes upon the copyright, trademark rights, privacy rights, portrait rights, or other legitimate rights of any third party.

If the content provided by the client leads to claims, demands, or legal disputes by third parties, the client shall bear the corresponding responsibility for the legality of the content it provides.

  1. Intellectual Property Ownership

6.1 Client-Provided Materials

The original intellectual property rights of the text, images, videos, audio, trademarks, brand materials, and other materials originally owned by the client remain with the client or the original rights holder.

VisualForge Creative LLC does not acquire ownership of the client’s original materials by providing the service.

6.2 VisualForge Creative LLC Materials

VisualForge Creative LLC’s proprietary brand name, website content, service pages, text materials, templates, methods, workflows, pre-existing materials, and other company content are the intellectual property of VisualForge Creative LLC or the relevant rights holders.

Clients may not copy, sell, sublicense, republish, or use for other commercial purposes without written permission.

6.3 Project Deliverables Ownership

For customized project deliverables for which the client has paid all agreed service fees, unless otherwise agreed on the order page or in writing by both parties, the corresponding usage rights and transferable intellectual property rights of the customized content ultimately delivered to the client as a project deliverable belong to the client upon completion of payment and delivery.

However, the following content is not transferred with the project deliverables:

VisualForge Creative LLC’s original templates;

Pre-existing materials;

General workflows;

General methods and technical experience;

Third-party licensed materials;

Third-party fonts, images, music, plugins, or other licensed content;

Intellectual property rights that are legally non-transferable.

For the above non-transferable content, clients may only use it within the scope permitted by the relevant license.

6.4 Unpaid Projects

Ownership and usage rights of the customized project deliverables are not considered transferred until the client has paid all agreed fees.

The client may not use, sell, publish, or commercialize unpaid project deliverables before payment is completed.

  1. Project Modifications

If the order includes modification services, the scope of modification is subject to the service content confirmed on the order page or by both parties.

Major modifications, additions, or remakes beyond the original service scope may be considered additional services.

Additional services may incur additional costs, which will be explained to the client before commencing additional work.

  1. Acceptable Uses

The client may use the purchased and delivered service deliverables within the legal scope, including for:

Corporate promotion;
Business marketing;
Social media;
Websites and online platforms;
Advertising and promotional materials;
Personal or commercial projects;
Other lawful commercial uses.

Specific usage is still subject to the third-party material licensing terms and applicable laws.

  1. Prohibited Activities

Customers shall not use our services or project results to engage in illegal activities or infringe upon the legitimate rights and interests of others, including but not limited to:

Infringing upon the copyright, trademark, or other intellectual property rights of others;
Creating or disseminating illegal content;
Fraudulent, false, or misleading activities;
Impersonating others or using others’ identity information without authorization;
Uploading malicious software or other harmful programs;
Interfering with or disrupting the normal operation of the website;
Unauthorized access to our systems or accounts;
Reselling our services themselves unless authorized in writing;
Using the services in a manner that violates applicable laws and regulations.

  1. Consequences of Breach of Terms

If we believe that a customer has violated these Terms, applicable laws, or the legitimate rights and interests of a third party, we may take the following measures depending on the specific circumstances:

Suspend services;
Refuse to continue processing the relevant project;
Cancel the relevant order;
Restrict access to the website or services;
Remove or refuse to process the violating content;
Require the customer to cease the relevant activities;
Take other appropriate measures to the extent permitted by law.

If a customer’s actions result in third-party claims, losses, costs, or legal liabilities, we reserve the right to pursue legal action against them.

  1. Limitation of Liability

To the maximum extent permitted by applicable law, VisualForge Creative LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from:

Inaccurate or incomplete information provided by the client;

The client’s misuse of project deliverables;

Failure of third-party platforms, software, or services;

Network outages or technical problems beyond reasonable control;

Force majeure events;

The client’s breach of these Terms or applicable law.

To the extent permitted by applicable law, VisualForge Creative LLC’s aggregate liability for any direct claim relating to a specific order shall, in principle, not exceed the amount actually paid by the client for the specific service order from which the claim arises.

These Terms do not limit liability that is expressly prohibited from being excluded or limited by law.

  1. Third-Party Services and Materials

Some projects may require the use of third-party software, platforms, fonts, images, music, or other third-party content.

This third-party content may be subject to its respective license agreements and usage restrictions.

The client shall comply with applicable third-party licensing requirements. Unless expressly stated otherwise, VisualForge Creative LLC does not transfer ownership of the third-party content itself to the client.

  1. Service Suspension or Termination

We may suspend or terminate the relevant services if a customer materially breaches these Terms, fails to pay outstanding fees, or engages in activities that may pose a risk to us, other customers, or third parties.

Termination of services will not affect pre-existing payment obligations, intellectual property obligations, limitations of liability, or dispute resolution provisions.

  1. Dispute Resolution

If a customer has a dispute regarding the services, orders, or these Terms, we recommend that the customer first contact VisualForge Creative LLC and give both parties a reasonable opportunity to resolve the issue amicably.

If the parties are unable to resolve the dispute through negotiation, they may choose a court with jurisdiction or other legal dispute resolution institution in accordance with applicable law.

Where permitted by law, the parties should first attempt to resolve the dispute through good faith negotiation.

  1. Applicable Law

These Terms of Service and related relationships between the parties arising from the services shall be governed by applicable U.S. laws and the laws of the jurisdiction in which they have jurisdiction.

If mandatory consumer protection laws in a particular jurisdiction provide the customer with rights that cannot be excluded by contract, these mandatory rights shall not be affected by these Terms.

  1. Terms of Service Modification

VisualForge Creative LLC may update these Terms of Service in accordance with changes in business, services, or laws and regulations.

The updated version will be published on the website and will take effect on the new date.

By continuing to use the website or purchase services, you agree to the updated terms, except where legal requirements necessitate further notice or consent, in which case we will comply with applicable requirements.

  1. Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

Invalid provisions will be adjusted to the maximum extent permitted by law to achieve the original purpose as much as possible.

  1. Entire Agreement

These Terms of Service, relevant policies published on the website, and the services expressly agreed upon in your order constitute the entire agreement between the parties regarding the relevant services.

If there is any conflict between the specific service terms on the order page and these Terms of Service, the terms expressly agreed upon for that specific order shall prevail.

Thank you for using the services of VisualForge Creative LLC.
